Software Ownership: The software, algorithms, and AI models that power our Services are our proprietary property. You may not copy, modify, distribute, sell, or lease any part of our software or services.
8. Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT WILL CHATIEX AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, resulting from your use or inability to use the Services, any conduct or content of any third party on the Services, any content obtained from the Services, or unauthorized access, use, or alteration of your transmissions or content.
Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid to us in the twelve (12) month period preceding the claim.
9. Indemnification
You agree to defend, indemnify, and hold harmless Chatiex AI and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Services, your User Content, your violation of these Terms, your violation of any rights of another party, or your violation of any applicable laws or regulations.

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. We may delete your account and all associated data, including User Content, upon termination. The following provisions shall survive termination: Sections 5-12 of these Terms, as well as any other provisions that by their nature should survive termination.

12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Montana, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Kalispell, Montana, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English.
Jurisdiction: Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Montana, United States.
